TERMS AND CONDITIONS

1. General

These Wholesale Terms & Conditions (“Terms”) govern all wholesale transactions, agreements, and business relationships between RTC Wholesale (“we”, “us”, or “our”) and the wholesale customer (“buyer”, “you”, or “your”).

By applying for a wholesale account, accessing our wholesale platform, or placing an order, the buyer confirms that they have read, understood, and agreed to be bound by these Terms in full.

Our wholesale offering is specifically designed for professional retailers seeking to offer collectibles. Our product assortment focuses on collectability, storytelling, and customer engagement, enabling retailers to create dynamic in-store experiences and encourage repeat purchases. Many of our products, including blind box formats, are intentionally designed to introduce an element of surprise and rotation within retail environments.

These Terms apply to all quotations, offers, order confirmations, and agreements, unless otherwise agreed in writing. Any conflicting or additional terms proposed by the buyer are expressly rejected and shall not apply unless explicitly accepted by us in writing.

All agreements are subject to product availability and acceptance by us. We reserve the right to refuse, cancel, or limit any order at our sole discretion, including but not limited to cases involving suspected misuse of wholesale access, violation of resale policies, or risks related to payment, distribution channels, or brand positioning.

Wholesale access is granted solely for the purpose of resale to end consumers through approved retail channels. The buyer agrees to operate in a manner that aligns with our brand positioning, maintaining a professional retail environment and pricing structure that reflects the value of the products.

The buyer is responsible for ensuring that all information provided during account registration and ordering is accurate, complete, and up to date. We are not liable for any issues arising from incorrect or incomplete information provided by the buyer.

We may update or modify these Terms at any time. Updated versions will apply to all future orders from the moment they are published on our website or otherwise communicated.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. Eligibility

Wholesale access is exclusively available to legitimate businesses operating within the retail sector. By applying for a wholesale account, the applicant confirms that they are purchasing products for commercial resale purposes and not for personal use.

To qualify for a wholesale account, the buyer may be required to provide:

•  A valid business registration number 
•  A valid VAT number (for applicable regions) 
•  Company details and billing information 
•  Proof of retail activity, such as a webshop, physical store, or established sales platform 

We reserve the right to request additional information or documentation at any time to verify the legitimacy of the business.

Wholesale accounts are intended for retailers, boutiques, concept stores, gift shops, collectible stores, online shops, and similar commercial businesses that align with our products and brand positioning. Approval is granted at our sole discretion, and submission of an application does not guarantee acceptance.

We reserve the right to refuse, suspend, or terminate wholesale access without prior notice in cases including, but not limited to:

•  Providing inaccurate or misleading information 
•  Unauthorized resale practices 
•  Violation of marketplace restrictions or resale policies 
•  Activities that may negatively impact our brand reputation 
•  Suspected fraudulent activity or payment risks 

Wholesale pricing, catalogs, and ordering access are confidential and intended solely for approved account holders. Buyers may not share wholesale pricing, product availability information, or wholesale materials with third parties without written permission.

The buyer is responsible for ensuring continued compliance with all applicable laws and regulations in their country or region, including consumer protection laws, import regulations, tax obligations, and product resale requirements.

We reserve the right to periodically review wholesale accounts and may request updated business information to maintain active wholesale status.

Wholesale accounts are non-transferable and may not be shared, sold, or used on behalf of another business entity without prior written approval.

3. Pricing & VAT

All prices displayed on our wholesale platform, catalogs, quotations, and invoices are listed in Euros (EUR) and are exclusive of Value Added Tax (VAT), unless explicitly stated otherwise.

Wholesale pricing is intended solely for approved wholesale customers and is strictly confidential. Buyers may not publicly disclose wholesale pricing, share pricing structures with third parties, or use confidential pricing information in a manner that may negatively impact our business, retailers, or brand positioning.

Prices are subject to change without prior notice due to factors including, but not limited to:

•  Supplier price increases 
•  Manufacturing cost changes 
•  Currency fluctuations 
•  Import duties or transportation costs 
•  Market conditions or product availability 

The applicable price for an order will be the price confirmed at the time the order is accepted by us.

For customers located within the Netherlands, Dutch VAT will be applied in accordance with applicable tax regulations.

For business customers located within the European Union (outside the Netherlands), VAT may be reverse charged if:

• A valid VAT identification number is provided prior to ordering
• The business qualifies for intra-community supply under applicable EU regulations 

The buyer is responsible for ensuring that all VAT information provided is accurate and valid. We reserve the right to verify VAT numbers through official EU validation systems and to charge VAT if verification cannot be completed successfully.

For customers located outside the European Union, VAT will generally not be charged by us. However, the buyer remains fully responsible for:

• Import duties 
• Customs fees 
• Local taxes 
• Any additional import-related costs imposed by the destination country 

We are not responsible for delays, charges, or customs procedures related to international shipments.

If tax regulations change, or if a transaction is later determined to be taxable due to incorrect information provided by the buyer, we reserve the right to retroactively charge applicable VAT, taxes, penalties, or administrative costs.

Recommended Retail Prices (RRP), where provided, are intended solely as guidance to support consistent market positioning. Retailers remain independently responsible for determining their own final consumer pricing, unless otherwise restricted by applicable law or specific written agreements.

Promotional pricing, temporary discounts, or special wholesale offers may be subject to additional terms, limited availability, purchase limits, or time restrictions.

The buyer is solely responsible for:

• Reporting and remitting taxes in their own jurisdiction 
• Maintaining accurate accounting records 
• Complying with all local tax and financial regulations related to resale activities 
• Failure to comply with tax obligations or misuse of VAT exemptions may result in suspension or termination of wholesale access.

4. Minimum Order Requirements

We do not require a general minimum order value for wholesale purchases. Retailers are free to place orders based on the needs of their business, allowing flexibility for both smaller restocks and larger inventory purchases.

Due to the collectible and limited nature of many of our products, availability may vary between collections and restocks. Certain releases may be produced in limited quantities or allocated based on demand to ensure fair distribution among retailers.

We reserve the right to:

• Limit quantities per customer 
• Restrict access to selected releases 
• Refuse unusually large volume purchases 
• Allocate stock based on order history, availability, or regional distribution considerations 

These measures help maintain balanced stock availability and protect the long-term retail value and exclusivity of our collections.

Wholesale customers are encouraged to order responsibly and in quantities appropriate for their retail environment and customer base. Excessive bulk purchasing intended for redistribution to unauthorized resellers or third-party wholesalers is not permitted.

We may introduce or modify minimum quantity requirements for specific collections, product categories, or promotional programs at any time without prior notice. Any such requirements will apply only to future orders and will be communicated through the relevant sales channels.

6. Shipping & Delivery

We aim to process and dispatch all wholesale orders as efficiently as possible while maintaining careful packaging standards suitable for collectible products.

Shipping costs are calculated based on the destination country, package size, weight, and order value.
We offer free shipping on wholesale orders above €350 EUR for customers located in:

• The Netherlands 
• Belgium 
• Germany 

Orders below this threshold will have shipping costs calculated and added during checkout or invoicing.

For all other countries, shipping costs remain the responsibility of the buyer unless otherwise agreed in writing.

Estimated delivery times are provided for informational purposes only and are not guaranteed.
Delivery times are typically approximately 3 weeks, unless stated otherwise on the product page, quotation, or order confirmation.

Processing and transit times may vary depending on:

• Product availability 
• Order volume 
• Pre-order timelines 
• Carrier delays 
• Customs procedures 
• Public holidays or external disruptions 

We are not liable for delays caused by shipping carriers, customs authorities, force majeure events, or circumstances beyond our reasonable control.

All delivery dates provided are estimates only and do not constitute binding deadlines.

Orders will generally be pr-ordered once full payment has been received and cleared, unless alternative payment arrangements have been agreed upon in writing.

For pre-order products, shipment will occur once the items arrive in stock and are ready for distribution. If an order contains both in-stock and pre-order items, we reserve the right to:

• Hold the order until all items are available, or 
• Ship items separately at our discretion 

Additional shipping charges may apply for split shipments unless otherwise agreed.

Risk of loss and ownership transfer to the buyer once the shipment has been handed over to the shipping carrier. From that moment onward, the buyer assumes responsibility for the goods, including any loss, delay, or damage occurring during transit.

The buyer is responsible for ensuring that the shipping address and contact information provided are accurate and complete. We are not responsible for failed deliveries, delays, additional shipping charges, or lost packages resulting from incorrect information supplied by the buyer.

International customers are fully responsible for:

• Import duties 
• Customs clearance fees 
• Local taxes 
• Brokerage fees 
• Any other import-related charges imposed by the destination country 

Refused shipments or unclaimed packages may result in additional return shipping costs, customs fees, or administrative charges, which will remain the responsibility of the buyer.

Upon delivery, the buyer is responsible for inspecting the shipment promptly. Any visible shipping damage, missing items, or delivery issues must be reported within 7 days of receipt, including clear photographic evidence of both the products and packaging.

We reserve the right to select the shipping carrier and shipping method best suited for the order unless specific arrangements have been agreed upon in advance.

7. Pre-Orders

Certain products offered through our wholesale platform are sold as pre-order items. 

By placing a pre-order, the buyer acknowledges and accepts that estimated release dates and delivery timelines are subject to change. Production schedules, supplier allocations, manufacturing delays, shipping disruptions, and customs procedures may impact availability and delivery timing.

All pre-orders must be paid in full at the time of ordering unless otherwise agreed in writing.

Once a pre-order has been placed and confirmed, it is considered final and binding.
Pre-orders cannot be cancelled, modified, reduced, or refunded after the order has been submitted.

Pre-orders are fulfilled based on supplier availability and stock allocation. While we make every effort to secure all quantities ordered, availability from manufacturers or suppliers cannot always be guaranteed.

In cases where:

• Supplier stock is reduced 
• Allocations are limited 
• Products become unavailable 
• Ordered quantities cannot be fully fulfilled 

We will contact the buyer as soon as possible to discuss the available options.

Depending on the situation, solutions may include:

• Partial fulfillment of the order 
• Allocation adjustments 
• Store credit 
• Refunds for unavailable quantities 
• Alternative product options where applicable 

We reserve the right to allocate limited stock among wholesale customers in a fair and commercially reasonable manner.

Estimated arrival dates for pre-order products are provided for informational purposes only and do not constitute guaranteed delivery dates. Delays do not entitle the buyer to cancellation, compensation, chargebacks, or damages.

If a pre-order contains multiple products with different release dates, we reserve the right to:

• Ship products once all items are available, or 
• Split the shipment into multiple deliveries at our discretion 

Additional shipping charges may apply for split shipments unless otherwise agreed.

Pre-order quantities may be limited per customer to ensure fair distribution and broader retailer access to limited collections.

Due to the collectible and trend-driven nature of our product assortment, demand for certain releases may exceed supplier production quantities. By placing a pre-order, the buyer acknowledges and accepts this possibility.

8. Returns, Claims & Damages

Due to the nature of our wholesale business and the collectible character of our products, all wholesale sales are considered final. Returns, exchanges, or cancellations are not accepted unless explicitly approved by us in writing.

Wholesale customers are responsible for carefully inspecting all products immediately upon delivery.

Any claims relating to:

• Damaged items 
• Defective products 
• Missing items 
• Incorrect products 
• Shipping-related issues 

Must be reported within 7 days of delivery.

Claims submitted after this period may not be accepted.

To process a claim, the buyer must provide:

• Clear photographs and/or video evidence of the issue 
• Images of the outer shipping packaging 
• Images of the shipping label 
• Order details and item information 
• A detailed description of the problem 

Failure to provide sufficient evidence may result in rejection of the claim.

We reserve the right to assess each claim individually and determine the appropriate resolution at our sole discretion. Approved claims may result in:

• Replacement products (subject to availability) 
• Partial refund 
• Store credit 
• Refund for the affected items only 

Shipping costs are non-refundable unless otherwise agreed.

Minor imperfections that are considered normal within the collectibles industry do not qualify as defects. This includes, but is not limited to:

• Minor packaging dents or scratches 
• Small paint variations 
• Minor printing inconsistencies 
• Slight color differences 
• Manufacturer variations 
• Cosmetic imperfections to outer boxes or blind box packaging 

Many products are manufactured and packaged for retail distribution and transportation, and outer packaging condition cannot be guaranteed as “mint” or suitable for professional grading purposes.

Blind box assortments, randomized contents, and manufacturer packaging variations are not considered valid reasons for return or refund.

We are not responsible for:

• Improper storage or handling by the buyer 
• Wear and tear 
• Damage caused by customers or end consumers 
• Manufacturer production changes or packaging updates 

If a shipment arrives visibly damaged, the buyer should, where possible:

• Document the condition before opening 
• Retain all original packaging materials 
• Report the issue immediately to both the carrier and us 

Unauthorized returns will not be accepted. Any return shipment must first receive written approval and return instructions from us.

In cases where returned goods are approved, the buyer remains responsible for ensuring that products are securely packaged to prevent additional damage during return transit.

Chargebacks, payment disputes, or unauthorized payment reversals initiated without first contacting us to resolve the matter may result in:

• Immediate suspension of the wholesale account 
• Refusal of future orders 
• Additional recovery or administrative costs 

We reserve the right to refuse claims that appear fraudulent, excessive, abusive, or inconsistent with normal product characteristics within the collectibles industry.

9. Product Availability

All products are subject to availability. Due to the collectible and limited nature of many of our collections, stock levels may change without prior notice.

We reserve the right to:

• Limit product quantities per customer
• Allocate stock based on availability or demand
• Discontinue products or collections at any time
• Cancel or adjust orders in cases of supplier shortages or inventory issues

In the event that ordered products become unavailable, we will contact the buyer to discuss possible solutions, such as partial fulfillment, replacement options, store credit, or refunds for unavailable items.

Product images, packaging, and specifications may occasionally vary due to manufacturer updates or production changes.

10. Blind Box Disclaimer

Blind box products are sold as randomized assortments. Specific characters, designs, chase figures, or item distributions cannot be guaranteed unless explicitly stated otherwise.

Due to the surprise nature of blind box products, opened items, duplicate pulls, or unwanted character selections are not considered valid reasons for returns, exchanges, or refunds.

Product assortments and ratios are determined by the manufacturer and may vary between collections or production batches.
